Business Transactions
Limited Liability Companies
We provide business planning services with regard to both domestic and international ventures. Clients are counseled on matters such as organization, finance, distributions liquidations, acquisitions and reorganizations relevant to their particular situation. We advise our clients on choice-of-business entities such as Subchapter C and S corporations, limited liability companies/partnerships, general and limited partnerships and joint ventures. Once an entity is selected, we will draft and file the necessary documents in order to create it. In addition we will maintain such entities by complying with yearly administrative requirements in accordance with local, state and federal law.

Real Estate Transactions
Michael S. Knight concentrates his practice in the areas of international and domestic income tax planning for individuals, corporations, partnerships and trusts, as well as estate planning and administration. A former coordinator of the Internal Revenue Service VITA program, Mr. Knight is experienced in all phases of U.S. tax compliance. Mr. Knight engages in representation before the Internal Revenue Service and Massachusetts Department of Revenue, including audits, collection matters and private letter ruling requests. In addition, Mr. Knight represents clients in residential real estate transactions (including representation of lenders, buyers and sellers), as well as commercial lease drafting and negotiations. Mr. Knight is a member of the Massachusetts and District of Columbia Bars and is licensed to practice before the United States Tax Court, the Federal District Court of Massachusetts and the United States First Circuit Court of Appeals. Mr. Knight is a First Choice Agent with First American Title Insurance Company. He is a graduate of University of Massachusetts (B.A. Mathematics, 1985), New England School of Law (J.D., 1988) and Boston University School of Law LL.M. (Taxation, 1989).
Condominium Law
Brown & Knight LLC's real estate practice includes the representation of buyers, sellers and lenders in both residential and commercial transactions, including condominium conversions. The firm provides all legal services necessary for the acquisition, disposition, financing and leasing of both residential and commercial real estate. The attorneys and paralegals in the firm work closely with their clients as well as brokers and the lenders to insure that each and every transaction is smooth and efficient. Experience, knowledge and expertise in the area of real estate provide the firm with a unique ability to guide clients through the often-stressful process of purchasing or selling a home. Our attorneys counsel clients regarding asset freezing techniques, gift giving programs, trusts, testamentary planning and closely-held business succession. We establish planning vehicles such as family limited partnerships, qualified personal resident trusts, grantor retained annuity/income trusts and charitable lead/remainder trusts. In addition, our post-mortem planning expertise can produce considerable tax savings and probate cost-reduction when lifetime planning has been incomplete or inadequate.

In providing tax return preparation services, we use the latest and most sophisticated software to help us ensure returns are done efficiently and accurately. We prepare returns for domestic clients including individuals, trusts and estates, US clients with employment and/or business interests outside the US, and non-US persons with employment and/or business interests subject to US tax.
